What I Offer

I can help you form your limited liability company and get it registered with the appropriate Secretary of State. It doesn’t stop there. I will create a binder for you which includes all of the formation documents and filings as well as a complete compliance program. That is what distinguishes me from other law firms.

Most companies initially form LLCs and make an S-Corporation election so they can avoid paying too much self-employment taxes. However, the S-Corporation election is complicated and triggers increased compliance obligations. In addition, S-Corporations are high on the IRS audit list. My services include reviewing any existing S-Corporation documents, drafting any amendments to the documents to make them compliant, and training my clients in how to stay compliant going forward.

I specialize in helping growing companies acquire other similar companies. Typically, the acquisition is accomplished through an asset purchase agreement and I can help guide the acquiring company through the process of letters of intent, confidentially agreements, due diligence, asset purchase agreement drafting and negotiation, and integration.

I can also help you develop policies, such as the employee handbook and a health and safety policy.

In my career as in-house counsel, I have reviewed, drafted, and negotiated thousands of contracts. In addition, I teach an advanced contracting drafting class at the University of Arkansas Law School. As a result, I know contracts! If you need to develop certain contract templates, I can help. If you have been given a contract to review, I can help. In addition to my drafting and review services, I can help you negotiate the contract .
My Process
Initial Consultation
I cannot help you if I don’t know your business and your plans for the business. All services start with an initial meeting at no cost to you. In this meeting, I will explore your needs and if I can meet those needs, I will develop a plan going forward. Also, in this meeting, I will explain my billing rates and give you an estimate of the fees that will be incurred to deliver these services. I will also give you a timeline on the delivery of those services.
Open Communication
Throughout the process, I will keep you informed about the progress of your legal matter. If I need additional information, I will contact you to request the information. If there is a change in the project or an important update, I will contact you immediately. If I find an alternative way to accomplish your legal issue, I will contact you to discuss and get your approval before proceeding with the alternative.
Project Completion
When the legal project is finished, I will schedule a meeting with you to present all of the documents prepared by me. I will carefully explain each document and let you know if there are any follow-up matters that you need to take care of. I will also answer any questions you may have.
Follow-up
The completion of the legal project is not the end of the relationship between you and me. If you have any questions about the legal work I did for you, just contact me and I will be happy to answer and explain. There may be future compliance obligations with regard to your company and I will endeavor to remind you of those obligations in a timely manner.
